GENERAL TERMS AND CONDITIONS OF THE "CLUB E-STEEL" LOYALTY PROGRAM

1. TERMS AND CONDITIONS OF THE LOYALTY PROGRAM

The loyalty program “CLUB E-STEEL”, which allows discounts on future online purchases to be acquired in the form of a purchase credit ('the loyalty program'), is organized and offered by Disteel NV, with registered office at Metropoolstraat 19, 2900 Schoten, Belgium, company number 401.546.445 (“Disteel”).

The terms and conditions applicable to this loyalty program are described in the present terms and conditions ("Terms and Conditions").

The loyalty program is only available to customers who are registered on the e-steel.arcelormittal.com website ("e-steel") and place orders online through this website (the "Customer").

Joining and enjoying the benefits under the loyalty program is free of charge and occurs automatically when and as soon as the Customer is registered and places online orders on e-steel. All registered Customers who place orders on e-steel during the loyalty program period are therefore considered beneficiaries of the loyalty program without any further action on their part, unless they explicitly unsubscribe by sending an e-mail to: contact-esteel@arcelormittal.com.

2. CONDITIONS FOR OBTAINING AND CARRYING OUT THE PURCHASE CREDIT

2.1

The loyalty program consists in that the Customer, based on the number of orders placed by him on e-steel, can acquire a certain customer status (bronze, silver or gold). The acquisition of a certain customer status entitles the Customer to a certain credit in euro on future purchases on e-steel as further described ("purchase credit").

Only the orders created by the Customer on e-steel and invoiced to the Customer are eligible for determining customer status and purchase credit. Lines manually added to an e-steel order are not eligible.

2.2

The number of online orders placed by the Client is tracked and added up per calendar year.

If and as soon as the Client places more than 30 online orders in the course of a calendar year, he will acquire the “Bronze" status.

If and as soon as the Client places more than 70 online orders during the course of a calendar year, he will acquire “Silver” status.

If and as soon as the Client places more than 100 online orders during the course of a calendar year, it will acquire “Gold” status.

2.3

As soon as the Customer acquires a specific customer status in a given month of the calendar year, he will receive, as of the month following the month in which the specific customer status was acquired and in every subsequent month of the calendar year in question, a purchase credit in euros whose amount is equal to the result of the following formula: the total online turnover in euros invoiced to the Customer in the previous month multiplied by the percentage associated with the customer status in question.

The percentages associated with each customer status are 0.20% (Bronze), 0.40% (Silver) and 0.80% (Gold) respectively.

If the Customer achieves a certain Customer Status and then also a higher Customer Status in the same month, the percentage of the highest Customer Status is applied.

2.4

The purchase credit can be used for a future purchase on e-steel. The purchase credit will be made available in the form of a promotional code which will be sent by e-mail to the Customer and will also be visible in the Customer's “My Account” environment on e-steel. This promotional code can only be used on the shopping cart page and is valid for 2 months after issuance.

There is no minimum order value for the use of the promotional code. However, a promotional code can only be used once. It follows that if the promotional code is used for an order with an order value less than the amount of the purchase credit to which the promotional code relates, any balance of the purchase credit will be lost.

The purchase credit cannot be redeemed for cash or any other benefit.

2.5

At the end of each calendar year, the Customer's number of online orders is reset to zero, so that at the start of the new calendar year, the number of orders is counted again from zero, with the understanding that the Customer starts in each new calendar year with the customer status he acquired at the end of the previous calendar year and based on the total number of online orders in that year. He will keep this customer status until the end of the new calendar year or until he acquires a new higher customer status during the new calendar year.

If the total number of online orders placed by the Customer during the new calendar year is insufficient to maintain the applicable customer status at the end of that calendar year based on the total number of online orders in that year, the Customer will start in the following calendar year with the lower customer status to which the Customer is entitled based on the number of online orders in the previous calendar year, being

Silver (with 70 or more but less than 100 orders);
Bronze (for 30 or more but less than 70 orders);
No special customer status (for less than 30 orders).

If the total number of online orders placed by the Customer during the new calendar year is sufficient to maintain the applicable customer status at the end of that calendar year based on the total number of online orders in that year, the Customer will start with the same customer status in the following calendar year.

2.6

Customer status and any purchase credit obtained is proprietary to the Customer and is not transferable to another customer.

2.7

Any proven abuse of the loyalty program, any proven or serious suspicion of deception or fraud, non-compliance with the General Terms and Conditions, any misrepresentation or any other act by the Customer that is detrimental to Disteel, may result in the revocation of customer status and/or the cancellation of any purchase credit already granted or not.

3. DURATION OF THE LOYALTY PROGRAM

3.1

The Loyalty Program shall commence on January 1, 2022 and shall be for an indefinite period.

3.2

Disteel may, in its sole discretion, apply, interpret, terminate, limit, suspend or modify the loyalty program and/or the General Terms and Conditions, privacy policy, rules, regulations or benefits at any time, without having to justify such decision and without creating any right or claim for the Customer to compensation, a substitute benefit or action, in any form, and this by notice of such action in advance, either on the e-steel.arcelormittal.com website, in My Account, via email or any combination thereof. Such changes will take place 14 days after the Customer has been informed of any changes either on the website e-steel.arcelormittal.com, in My Account, by email or by a combination of the foregoing.

For the avoidance of doubt, the right to amend shall also include the right to amend the scales for granting customer status or the percentages corresponding to a particular customer status or any other part of the loyalty program, without having to justify this decision and without any form of compensation to the Customer.

3.3

The purchase credits and/or rights already obtained can only be exercised as mentioned above or as described in subsequent regulations, in accordance with the legislation in force.

3.4

Disteel reserves the right to make minor changes to the loyalty program and the associated General Terms and Conditions without notifying the Customer in advance, provided that these changes do not materially adversely affect the loyalty program.

3.5

The Customer shall ensure that it remains up to date with the General Terms and Conditions. The Customer can always consult the most recent version of the General Terms and Conditions on e-steel.

4. GDPR

The personal data of the Customer are processed in accordance with the GPDR: "Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46 / EC (General Data Protection Regulation - "GDPR").

The personal information communicated by the Customers is necessary for the management of their participation in the loyalty program and is reserved for Disteel.

In application of the GDPR regarding data processing, files and freedoms, participants have the right to access, correct and delete data relating to them. To exercise these rights, they should send an email to: contact-esteel@arcelormittal.com.

Any Customer may exercise their right to access, communicate and rectify data concerning them by emailing: contact-esteel@arcelormittal.com.

The organizing company undertakes to take all useful precautions with regard to the persons concerned in order to safeguard the security of the information and, in particular, to prevent it from being communicated to unauthorized third parties. Unless the participant refuses when their information is collected, they may also be used for commercial purposes by entities of Disteel. The Client was informed of the above mentions during his participation.

5. LIMITATION OF LIABILITY

Disteel shall not be liable for any system failure or malfunction of the Fidelity Program or the consequences thereof. Disteel does not accept any liability for loss or damage arising from the suspension, modification or termination or otherwise related to the loyalty program, except for liability that cannot be excluded by law.

In addition, it is expressly recalled that because the Internet is not a secure network, Disteel cannot be held responsible for infection by a possible virus or third-party intrusion into the terminal system of contest participants, and disclaims all responsibility for the consequences of the connection made by participants to the site.

Disteel cannot be held responsible for damage to participants, their computer equipment and data stored therein, nor for any consequences, especially on their personal or professional activity.

7. APPLICABLE LAW AND JURISDICTION

7.1

These General Terms and Conditions are governed by Belgian law, to the exclusion of any provisions of private international law to the contrary. Any dispute, claim or controversy arising or relating to these Terms and Conditions or the loyalty program shall be settled by the competent court of East Flanders, Ghent Division, or Namur, in Belgium.

7.2

If any of the present conditions should be declared null and void or inapplicable, the remaining conditions shall nevertheless remain in full force and effect.
